TLC iQ — Terms of Service

Operator: The Living Company and its affiliates ("TLC", "we", "us"), 2149 S Jupiter Rd, Garland, TX 75041

1. What these Terms cover

These Terms govern access to and use of the TLC iQ platform and every application served under the tlciq.app domain, including Panorama, the customer portal, supply, install, and any related applications, APIs, reports, and communications (together, the "Platform"). By signing in to or using the Platform, you agree to these Terms and to the Privacy Policy.

The Platform is a business tool. It is provided to (a) TLC employees and contractors, (b) authorized partners, and (c) TLC customers and their designated representatives, in each case only through accounts that TLC creates or invites. It is not offered to the general public.

2. Accounts and access

• Invitation only. Accounts are created or invited by TLC. You may not create an account for anyone else or share your credentials.
• Roles. Your access is limited to the role, organization, brands, and data sources TLC assigns to you. Do not attempt to access data outside that assignment.
• Your responsibility. You are responsible for activity under your account. Notify TLC promptly at info@livingcompany.com if you suspect unauthorized use.
• Impersonation and "View As." Administrative features that let TLC staff view the Platform as another user are logged and are for support and verification only.
• Termination. TLC may suspend or end access at any time, including when employment, engagement, or a customer relationship ends.

3. Acceptable use

You agree not to:

• use the Platform other than for TLC business or the customer purpose for which you were given access;
• attempt to bypass access controls, rate limits, or security measures, or probe, scan, or test the Platform's vulnerability without written authorization;
• extract data in bulk, scrape, or use automated tools against the Platform except through interfaces TLC provides for that purpose;
• upload or transmit malicious code, or content you do not have the right to share;
• share Platform outputs (reports, snapshots, answers, exports) outside TLC or outside your organization except as expressly permitted by TLC.

4. Data, confidentiality, and ownership

• TLC data. All data in the Platform — including project, property, order, shipment, financial, and pipeline data — is confidential information of TLC or its customers. It may be used only for the purpose for which access was granted.
• Customer data. Data that a customer provides, or that TLC processes on a customer's behalf, remains the customer's. TLC uses it to deliver services under the applicable customer agreement.
• Ownership. TLC owns the Platform, its software, models, structures, and all improvements. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Platform as permitted here; no other rights are granted.
• Feedback. If you give TLC feedback or suggestions about the Platform, TLC may use them without obligation to you.

5. AI-assisted features

Parts of the Platform (including Panorama's "Ask" feature) use artificial-intelligence models to interpret questions, generate database queries, summarize data, and draft content. You acknowledge that:

• Outputs are advisory. AI-assisted answers are labeled and may be marked "Verified" (tied to a registered reconciliation) or "Computed" (not yet verified). Verified means TLC has reconciled the figure to a source of record within a stated tolerance; it does not guarantee suitability for any decision. Computed figures have not been reconciled.
• Provenance is shown. Each answer shows its data sources, the time the data was current ("as of"), and the query used. You are responsible for reviewing this before relying on an answer.
• Not professional advice. Outputs are not accounting, legal, tax, or investment advice.
• Third-party models. Questions and related context may be processed by third-party AI providers acting as TLC's service providers, under agreements that prohibit use of TLC data to train their models. See the Privacy Policy for the current list.

6. Customer-facing reports and snapshots

Reports or snapshots that TLC shares with customers are prepared from TLC's systems as of the date shown. They are provided for the customer's information under the applicable customer agreement, may be updated or withdrawn, and are not a warranty as to delivery dates, quantities, or costs unless the customer agreement says otherwise. Links to reports may expire or be revoked.

7. Communications

The Platform may send you operational email or text messages related to your account, reports, approvals, and alerts. By providing a mobile number, you consent to receive such messages; message and data rates may apply; reply STOP to opt out of text messages where available. TLC does not use the Platform to send marketing messages.

8. Third-party services

The Platform relies on third-party services (hosting, authentication, databases, AI models, email and SMS delivery, file storage). Their availability is outside TLC's control. TLC is not responsible for those services' acts or omissions except as required by law.

9. Availability and changes

TLC may modify, suspend, or discontinue the Platform or any feature at any time, and may update these Terms. Material changes will be posted at legal.tlciq.app with a new effective date; continued use after that date is acceptance. The Platform is provided without a guaranteed service level unless a separate written agreement provides one.

10. Disclaimers

THE PLATFORM AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, TLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. AI-GENERATED OUTPUTS MAY CONTAIN ERRORS.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY. TLC'S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED US$100.00 OR, FOR CUSTOMERS, THE AMOUNT PROVIDED IN THE APPLICABLE CUSTOMER AGREEMENT. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW. Where a separate written agreement between TLC and your organization governs the same subject, that agreement controls to the extent of any conflict.

12. Indemnity

You agree to indemnify and hold TLC, its officers, directors, members, managers, employees, agents, subsidiaries and affiliates harmless from any demands, loss, liability, claims or expenses (including attorneys' fees) made against TLC by any third party arising out of or in connection with your use of the Platform in violation of these Terms or applicable law.

13. Employees and contractors

If you are a TLC employee or contractor, TLC's internal policies (including acceptable-use, confidentiality, and information-security policies) also apply, and control over these Terms to the extent of any conflict.

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, and the Texas Business and Commerce Code, as amended, applies to their interpretation except where these Terms expressly provide otherwise. Disputes will be resolved in the state or federal courts located in Dallas County, Texas, and you consent to their jurisdiction.

15. General

Entire agreement (together with the Privacy Policy and any applicable written agreement); no assignment by you without TLC's consent; severability; no waiver by failure to enforce; headings are for convenience.
